Terms of Service

1. Agreement to Terms

By accessing or using HMOComply ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service. These Terms apply to all users of the Service, including without limitation users who are browsers, customers, and contributors of content.

2. Description of Service

HMOComply is a cloud-based compliance management platform designed to help UK landlords and property management agencies track, manage, and maintain property compliance certificates including EPCs, Gas Safety certificates, EICRs, HMO licenses, and other regulatory requirements.

We provide tools for storing documents, setting reminders, and generating compliance reports. The Service does not provide legal advice or guarantee compliance with any regulations.

3. Account Registration

To use the Service, you must:

• Be at least 18 years old
• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your password and account
• Accept responsibility for all activities under your account

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Subscription Plans and Payment

4.1 Plans

We offer various subscription plans with different features and limits. Plan details, pricing, and features are subject to change. We will provide reasonable notice of any material changes.

4.2 Payment

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are in GBP (£) and are exclusive of VAT where applicable
• Payment is processed securely through our third-party payment provider
• Fees are non-refundable except as required by law or as specified in these Terms

4.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will continue to have access to the Service until the end of the period you have paid for.

5. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorised access to the Service or other accounts
• Interfere with or disrupt the Service or servers
• Use automated systems to access the Service without permission
• Share your account credentials with others
• Reverse engineer, decompile, or disassemble any part of the Service

6. User Content and Data

6.1 Your Content

You retain ownership of all data and content you upload to the Service ("User Content"). By uploading User Content, you grant us a limited, non-exclusive license to store, process, and display your User Content solely for the purpose of providing the Service.

6.2 Data Backup

While we maintain regular backups, you are responsible for maintaining your own backups of important data. We are not liable for any loss of data.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Glow Property Maintenance Solutions Ltd T/A HMO Comply and are protected by UK and international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

8. Disclaimers and Limitations

8.1 No Legal Advice and Compliance Responsibility

The Service is a tool for managing compliance information. It does not constitute legal, financial, or professional advice. HMOComply is a software platform that helps you organise and track compliance documents and deadlines, but it does not guarantee compliance with any legal or regulatory requirements.

You are solely responsible for ensuring compliance with all applicable laws, regulations, and requirements. This includes, but is not limited to, HMO licensing requirements, gas safety certificates, EICRs, EPCs, fire safety regulations, and any other compliance obligations applicable to your properties.

We are not liable for any failure by you, your organisation, or any third party (including property management agencies) to meet compliance requirements, regardless of whether you use the Service. The Service is provided as a tool to assist with organisation and tracking, but ultimate responsibility for compliance rests entirely with you.

We do not guarantee that using the Service will ensure compliance with any legal requirements, and we strongly recommend that you seek appropriate professional advice (legal, regulatory, or otherwise) to ensure full compliance with all applicable laws and regulations.

8.2 Service Availability

We strive to maintain high availability but do not guarantee that the Service will be uninterrupted, secure, or error-free. The Service is provided "as is" and "as available" without warranties of any kind.

8.3 Limitation of Liability

To the maximum extent permitted by law, Glow Property Maintenance Solutions Ltd T/A HMO Comply shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

Without limiting the foregoing, we specifically disclaim any liability for: (a) any failure to meet compliance requirements or regulatory obligations; (b) any fines, penalties, or legal consequences arising from non-compliance; (c) any errors or omissions in compliance tracking, reminders, or notifications; (d) any reliance on information or features provided by the Service; and (e) any actions or decisions made based on the Service.

9. Indemnification

You agree to indemnify and hold harmless Glow Property Maintenance Solutions Ltd T/A HMO Comply, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or relating to your use of the Service, violation of these Terms, or infringement of any rights of another.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination:

• Your right to use the Service will cease immediately
• We may delete your account and data after a reasonable retention period
• You remain liable for all charges incurred up to the date of termination

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
